Community Champions Terms & Conditions

Please read these terms carefully before applying to become a Community Champion.

1. Introduction & Agreement

These Community Champions Terms and Conditions ("Champion Terms") govern your participation in the Muslim Business Network Community Champions Program ("Program"). By submitting a Champion application, clicking "I agree", or participating in any way in the Program, you ("Champion", "you") agree to be bound by these Champion Terms, in addition to MBN's general Terms of Service and Privacy Policy.

MBN (ABN 39 688 445 347), operated by Muslim Business Network Pty Ltd ("MBN", "we", "us"), reserves the right to modify these Champion Terms at any time. Material changes will be notified via email with 14 days' notice. Continued participation after notice constitutes acceptance.

If there is a conflict between these Champion Terms and the general Terms of Service, these Champion Terms shall prevail to the extent of the inconsistency.

2. Nature of Relationship

2.1 Independent Contractor. You are an independent contractor and not an employee, partner, joint venturer, agent, or franchisee of MBN. Nothing in these Champion Terms creates an employment relationship, agency, or partnership.

2.2 No Authority. You have no authority to bind MBN, enter into contracts on MBN's behalf, make representations or warranties regarding MBN's services beyond approved marketing materials, or incur any obligations or liabilities on MBN's behalf.

2.3 No Employment Benefits. As an independent contractor, you are not entitled to any employee benefits including but not limited to superannuation contributions, workers' compensation, annual leave, sick leave, or any other statutory employment entitlements under Australian law.

2.4 Tax Obligations. You are solely responsible for all taxes, including GST (if applicable), income tax, and any other government levies arising from your Champion activities. You must obtain and maintain a valid Australian Business Number (ABN) if required by Australian tax law. MBN does not withhold taxes from commission payments.

2.5 Insurance. You are responsible for obtaining any insurance you consider necessary for your Champion activities, including public liability insurance. MBN does not provide any insurance coverage for Champions.

3. Eligibility & Application

3.1 Eligibility. To apply, you must: (a) be at least 18 years of age; (b) be an Australian resident or citizen; (c) hold a valid MBN user account in good standing; (d) not have been previously terminated from the Program for cause; (e) not be a current employee or contractor of MBN (unless specifically approved in writing by MBN management); and (f) provide truthful, accurate information in your application.

3.2 Application Review. MBN reviews all applications at its sole discretion. Submission of an application does not guarantee acceptance. MBN may reject any application without providing a reason. MBN may perform background checks or request additional documentation at any time.

3.3 Approval & Activation. Upon approval, you will receive a unique referral code (e.g., CC-NAME-001) and access to the Champion Dashboard. Your account becomes "active" only after MBN confirms approval. You may not commence Champion activities before receiving confirmation.

3.4 One Account Per Person. Each individual may hold only one Champion account. Creating multiple accounts to circumvent these terms or inflate referral metrics will result in immediate termination and forfeiture of all pending commissions.

4. Zones & Territory

4.1 Zone Assignment. Champions are assigned a zone based on their location and tier. Zone radius: Bronze (5km), Silver (15km), Gold (50km). Zone boundaries are determined by MBN at its sole discretion.

4.2 Non-Exclusive. Zones are non-exclusive. MBN may assign multiple Champions to the same or overlapping areas. Champions do not have territorial rights or exclusivity over any geographic area.

4.3 Zone Modification. MBN reserves the right to modify, reassign, or remove zone allocations at any time, including in response to performance issues, Champion density, or strategic needs. Where possible, MBN will provide reasonable notice of zone changes.

4.4 Cross-Zone Referrals. Referrals of businesses located outside your assigned zone are permitted and will be tracked, but MBN may prioritise in-zone referrals for tier progression and performance metrics.

5. Commission Structure & Payment Terms

5.1 Commission Tiers. Commission rates are tier-based:

  • Bronze (0–5 successful referrals): 25% of the MBN Pro annual subscription fee ($99/year at launch pricing)
  • Silver (6–15 successful referrals): 35% of the MBN Pro annual subscription fee
  • Gold (16+ successful referrals): 45% of the MBN Pro annual subscription fee

5.2 Definition of "Successful Referral". A referral is considered "successful" only when ALL of the following conditions are met: (a) the business was referred using your unique referral code or link; (b) the business completes registration and profile setup; (c) the business achieves an onboarding score of 80% or higher (as determined by MBN's automated scoring system); (d) the business subscribes to MBN Pro; and (e) the 30-day hold period has passed without the business cancelling or being removed.

5.3 Onboarding Score. The onboarding score measures profile completeness and quality, including but not limited to: business description, logo/image, operating hours, contact details, and category accuracy. The scoring methodology is determined by MBN and may be updated from time to time.

5.4 30-Day Hold Period. All commissions are subject to a 30-day hold period from the date the referral is marked as successful. During this period, commissions are in "pending" status and are not payable. If the referred business cancels, disputes the charge, or is removed from MBN during the hold period, the commission is forfeited.

5.5 90-Day Clawback. If a referred business cancels their MBN Pro subscription, requests a refund, issues a chargeback, or is terminated for any reason within 90 days of their initial subscription, MBN reserves the right to claw back (deduct from future commissions or request repayment of) the full commission paid for that referral.

5.6 Renewal Commission. Champions earn 10% recurring commission on annual renewals of businesses they referred, for as long as both the Champion account and the referred business remain active on MBN. Renewal commissions are subject to the same hold and clawback provisions.

5.7 Service Fees. MBN may charge service fees per successful referral depending on tier: Bronze ($0), Silver ($75), Gold ($150). These fees may be deducted from commission payouts. MBN reserves the right to modify service fee amounts with 30 days' notice.

5.8 Payment Schedule. Commissions that have cleared the hold period are processed monthly. Payments are made within 14 business days of the end of each calendar month, subject to reaching the minimum payout threshold.

5.9 Minimum Payout Threshold. The minimum payout threshold is AUD $20.00. Amounts below this threshold will roll over to the following month. Accumulated earnings below the threshold upon account termination may be forfeited if not redeemed within 90 days.

5.10 Payment Method. Commissions are paid via bank transfer to an Australian bank account nominated by the Champion. It is your responsibility to ensure your banking details are accurate and up to date. MBN is not liable for payments sent to incorrect account details provided by you.

5.11 GST. If you are registered for GST, you must provide a valid Tax Invoice for commission payments. MBN will add GST on top of commission amounts for GST-registered Champions. If you are not registered for GST, payments are inclusive of any tax obligations you may have.

5.12 Rate Changes. MBN reserves the right to modify commission rates, tier thresholds, service fees, and the MBN Pro subscription price at any time. Changes to commission rates will apply prospectively (to new referrals made after the change date) and will not affect commissions already earned on existing referrals. MBN will provide at least 30 days' written notice of commission rate changes.

5.13 No Guaranteed Income. MBN makes no representation or guarantee regarding the amount of income, if any, that a Champion may earn. Earnings depend entirely on the Champion's own efforts, the quality of their referrals, and market conditions.

6. Champion Obligations & Code of Conduct

6.1 Ethical Conduct. Champions must conduct all activities in accordance with Islamic principles of honesty (sidq), fairness (adl), and trustworthiness (amanah), and must comply with all applicable Australian laws and regulations, including the Australian Consumer Law.

6.2 Accurate Representations. You must: (a) only use MBN-approved marketing materials and messaging; (b) accurately represent MBN Pro pricing, features, and benefits; (c) never make false, misleading, or deceptive claims about MBN, the Program, or potential earnings; (d) clearly identify yourself as an independent Champion, not an MBN employee; and (e) not make promises or guarantees about business outcomes, revenue increases, or customer acquisition results.

6.3 Prohibited Activities. The following activities are strictly prohibited and will result in immediate termination:

  • Self-referral: referring your own business or a business in which you have a financial interest, without prior written disclosure and approval from MBN
  • Spam or unsolicited mass messaging via any channel (email, SMS, social media, WhatsApp)
  • Creating fake businesses, fictitious referrals, or ghost accounts
  • Using automated tools, bots, or scripts to generate referrals
  • Paying, bribing, or offering incentives to businesses to sign up (unless part of an MBN-approved promotion)
  • Harassing, pressuring, or intimidating potential referrals
  • Using another Champion's referral code or manipulating referral attribution
  • Disparaging MBN, other Champions, or competitors in any public or private communications
  • Engaging in any activity that violates Australian anti-spam legislation (Spam Act 2003), privacy laws (Privacy Act 1988), or consumer protection laws
  • Collecting, storing, or processing personal data of businesses or individuals outside of MBN's platform, except as necessary for referral activity and in compliance with applicable privacy laws

6.4 Brand Guidelines. You must adhere to MBN's brand guidelines when using MBN logos, trademarks, or marketing materials. You may not modify, alter, or create derivative works from MBN's intellectual property without prior written consent. All marketing materials must be pre-approved by MBN.

6.5 Duty to Report. You must promptly report to MBN: (a) any known or suspected fraudulent referral activity; (b) any material change in your personal circumstances that may affect your eligibility; (c) any complaints received from referred businesses; and (d) any legal proceedings or regulatory actions that may affect your participation.

7. Referral Attribution & Disputes

7.1 Attribution. Referral attribution is based on the referral code or link used at the time of business registration. If no referral code is used during registration, no referral credit will be attributed, regardless of any prior verbal or written communications between the Champion and the business.

7.2 First-Touch Attribution. Where a business is referred by multiple Champions, credit goes to the Champion whose referral code was used at the time of registration (first-touch attribution). MBN's records are the authoritative source for referral attribution.

7.3 Disputes. Referral attribution disputes must be raised within 14 days of the referral registration date by contacting support@mbnaus.com. Disputes raised after this period will not be considered. MBN's decision on attribution disputes is final and binding.

7.4 System Errors. In the event of a technical error in referral tracking, MBN will make reasonable efforts to investigate and correct the attribution. However, MBN is not liable for any losses arising from tracking errors beyond correcting the attribution for future commission calculations.

8. Data Protection & Privacy

8.1 Personal Data. MBN collects and processes your personal data in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By joining the Program, you consent to the collection, use, and disclosure of your personal data for Program administration, payment processing, and communication purposes.

8.2 Business Data. Any personal or business information you obtain through your Champion activities is confidential and may only be used for the purpose of facilitating MBN referrals. You must not: sell, share, or transfer business contact information to third parties; use business data for your own commercial purposes outside MBN; or retain business data after termination of your Champion account.

8.3 Confidentiality. Commission rates, internal performance metrics, system architecture, marketing strategies, and other non-public information shared with you as a Champion are confidential. You must not disclose confidential information to third parties during or after your participation in the Program.

9. Suspension & Investigation

9.1 Suspension. MBN may suspend your Champion account at any time if MBN reasonably suspects a breach of these Champion Terms, fraudulent activity, or conduct that may harm MBN's reputation. During suspension, your referral link and code will be deactivated and all pending commissions will be frozen.

9.2 Investigation. MBN may investigate any suspected breach and may request information or documentation from you during the investigation. You must cooperate fully with any investigation. Failure to cooperate is grounds for immediate termination.

9.3 Duration. Suspension may last up to 30 days while MBN investigates. If no breach is confirmed, your account will be reinstated and frozen commissions released. If a breach is confirmed, MBN may proceed to termination under Section 10.

10. Termination

10.1 Termination by You. You may terminate your participation at any time by providing written notice to support@mbnaus.com. Upon voluntary termination: (a) earned commissions that have cleared the hold period will be paid in the next payment cycle; (b) pending commissions still in the hold period will continue to be processed normally; (c) your referral code and link will be deactivated; and (d) you must cease all Champion activities immediately.

10.2 Termination by MBN Without Cause. MBN may terminate your participation at any time, for any reason or no reason, with 14 days' written notice. In this case, earned commissions that have cleared the hold period will be paid. Commissions in the hold period will continue to be processed.

10.3 Termination by MBN For Cause. MBN may terminate your participation immediately, without notice, for any of the following: (a) breach of any provision of these Champion Terms; (b) fraudulent, dishonest, or illegal conduct; (c) engaging in any prohibited activity listed in Section 6.3; (d) conduct that damages or may damage MBN's reputation; (e) providing false or misleading information in your application; (f) failure to cooperate with an investigation; or (g) insolvency or bankruptcy.

10.4 Effect of Termination for Cause. Upon termination for cause: (a) ALL pending and unpaid commissions are immediately forfeited; (b) MBN may pursue clawback of commissions paid within the preceding 90 days; (c) your referral code and link will be permanently deactivated; (d) you must immediately cease all Champion activities; (e) you must return or destroy all MBN marketing materials, confidential information, and assets; and (f) you are permanently barred from re-applying to the Program unless MBN provides written consent.

10.5 Post-Termination Referrals. Any businesses that register using your referral code after termination will not generate commission. MBN will make reasonable efforts to deactivate referral links promptly, but is not liable for any delay in deactivation.

10.6 Survival. Sections 2 (Nature of Relationship), 5.5 (Clawback), 8 (Data Protection), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.

11. Limitation of Liability

11.1 Exclusion. To the maximum extent permitted by Australian law (including the Australian Consumer Law), MBN's total liability to you in connection with the Program, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the total commissions actually paid to you in the 12 months immediately preceding the claim.

11.2 Consequential Loss. MBN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of business opportunities, loss of data, or loss of goodwill, howsoever arising.

11.3 Platform Availability. MBN does not guarantee uninterrupted access to the platform, the Champion Dashboard, or referral tracking systems. MBN shall not be liable for any loss arising from platform downtime, maintenance, or technical errors.

11.4 Consumer Law. Nothing in these Champion Terms excludes, restricts, or modifies any consumer guarantee or right under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2) that cannot be excluded, restricted, or modified by agreement.

12. Indemnification

12.1 You agree to indemnify, defend, and hold harmless MBN, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Champion Terms; (b) your Champion activities, including any representations made to businesses; (c) your violation of any applicable law or regulation; (d) any claim by a referred business arising from your conduct; or (e) your negligence or wilful misconduct.

13. Intellectual Property

13.1 MBN IP. All MBN trademarks, logos, marketing materials, the Champion Dashboard, referral system, and all associated software and technology remain the exclusive property of MBN. Your participation in the Program does not grant you any ownership rights or licence to MBN's intellectual property beyond a limited, revocable, non-transferable licence to use approved marketing materials for the sole purpose of Champion activities during your active participation.

13.2 Licence Revocation. The limited licence granted above is automatically revoked upon termination or suspension of your Champion account. You must immediately cease using all MBN intellectual property upon revocation.

14. Governing Law & Dispute Resolution

14.1 Governing Law. These Champion Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and any courts of appeal therefrom.

14.2 Dispute Resolution. Before commencing legal proceedings, you agree to attempt to resolve any dispute by: (a) first contacting MBN in writing at support@mbnaus.com with a detailed description of the dispute; (b) engaging in good-faith negotiation for a period of at least 30 days; and (c) if unresolved, participating in mediation administered by the Australian Disputes Centre (ADC) in Sydney, with costs shared equally.

14.3 Small Claims. Nothing in this section prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction or pursuing claims in a small claims tribunal with appropriate jurisdiction.

15. Anti-Fraud & Compliance

15.1 Fraud Detection. MBN employs automated and manual fraud detection systems. Activities flagged as suspicious may result in immediate suspension pending investigation. Fraud detection criteria include but are not limited to: unusually high referral volumes from a single IP or device; businesses that cancel immediately after the hold period; pattern of low-quality or incomplete business profiles; referrals from businesses with no genuine commercial activity; and coordinated sign-up patterns.

15.2 Audit Rights. MBN reserves the right to audit your Champion activities, referral records, and communications at any time. You agree to cooperate with any audit request within 7 business days.

15.3 Recovery. In cases of confirmed fraud, MBN reserves the right to: recover all commissions paid (including via debt collection or legal action); report the matter to relevant Australian law enforcement authorities; pursue civil damages; and permanently bar you from all MBN services.

16. Program Changes & Discontinuation

16.1 Modification. MBN may modify, suspend, or discontinue the Program at any time. MBN will provide at least 30 days' written notice before discontinuing the Program entirely.

16.2 Effect of Discontinuation. If the Program is discontinued: (a) all earned commissions that have cleared the hold period will be paid; (b) commissions in the hold period will continue to be processed normally; and (c) renewal commissions will be honoured for the current subscription term of each referred business, but not beyond.

16.3 No Compensation. You are not entitled to any compensation, damages, or payment for loss of future earning potential if the Program is modified or discontinued.

17. General Provisions

17.1 Entire Agreement. These Champion Terms, together with MBN's Terms of Service and Privacy Policy, constitute the entire agreement between you and MBN regarding the Program and supersede all prior or contemporaneous communications, whether oral or written.

17.2 Severability. If any provision of these Champion Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver. MBN's failure to enforce any right or provision of these Champion Terms shall not constitute a waiver of such right or provision.

17.4 Assignment. You may not assign, transfer, or delegate your rights or obligations under these Champion Terms without MBN's prior written consent. MBN may assign these Champion Terms freely, including in connection with a merger, acquisition, or sale of assets.

17.5 Notices. All notices to MBN must be sent to support@mbnaus.com. Notices to you will be sent to the email address associated with your Champion account. You are responsible for keeping your contact details current.

17.6 Force Majeure. MBN shall not be liable for any delay or failure to perform its obligations under these Champion Terms if such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet disruptions, or utility failures.
